Classification Specification

ASSOCIATE ATTORNEY (BANKING) under general direction, renders professional legal services of a high degree of difficulty and responsibility in the field of banking and corporation laws: drafts bills and supporting memoranda; reviews bills pending before the Governor and prepares recommendations of approval or veto; conducts disciplinary hearings against licensees; reviews the form and content of various legal documents relating to the transactions and chartering of banks, stock corporations and non-stock corporations; performs difficult and complex legal research; answers inquiries from and holds conferences with attorneys for banking organizations, members of the Department, State and Federal officials and the general public; reviews the bylaws of stock and non-stock corporations for compliance with the law; reviews all legal work in connection with stock dividends, notices to stockholders, mergers or liquidations of banking organizations and formations of bank holding companies.

QUALIFICATIONS: These positions are in the non-competitive class and no examination is required. Minimum qualifications are: Admission to the New York State Bar and three years of legal experience. Two years of the experience must have been in one or more of the following fields:

  1. Corporate law involving such actions as corporate mergers, dissolutions, stockholders' meetings and other related corporate action.
  2. Commercial finance documentation and negotiation.
  3. Bank security or regulatory experience.
  4. Prosecutorial experience gained in a city, state or federal law enforcement or administrative agency that regularly conducts civil enforcement action in financial and commercial matters.

A Master's Degree in law with concentration in banking law, corporate law or international legal studies may substitute for two years of the specialized experience.
